These Terms & Conditions (“Terms”) govern your access to and use of the website of Yasrion Technology LLP at https://yasrion.com and, where applicable, the engineering services we provide. By accessing this website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or our services. For any specific engagement, a separate written agreement or work order may apply and, where it conflicts with these Terms, the signed agreement will prevail.
In these Terms, “we”, “our” and “us” refer to Yasrion Technology LLP; “you” and “client” refer to the individual or organisation using our website or services; and “services” refers to the protection, automation, substation automation, IEC 61850 engineering, SCADA, PLC, RTU, HMI, relay testing, electrical testing, commissioning, power system study and maintenance services we offer.
We provide power system engineering and industrial automation services as described on our website and as detailed in individual proposals or work orders. The precise scope, deliverables, timelines and acceptance criteria for any project are defined in the relevant proposal or agreement. Information presented on the website is indicative and does not by itself constitute a binding offer to provide services on particular terms.
Quotations and proposals are valid for the period stated within them or, if none is stated, for thirty (30) days from the date of issue. Quotations are based on the information available to us at the time and on the assumptions recorded in the proposal. If site conditions, scope or requirements differ from those assumptions, we reserve the right to revise pricing and timelines after discussion with you.
To enable us to deliver services effectively and safely, you agree to provide accurate and complete project information, timely access to sites, equipment and relevant documentation, necessary permits and work clearances, and a safe working environment that complies with applicable health, safety and electrical regulations. Delays or inaccuracies in the information or access you provide may affect timelines and costs.
Unless otherwise agreed in writing, payment terms, milestones and applicable taxes are set out in the relevant proposal, work order or invoice. Invoices are payable within the period stated on the invoice. We reserve the right to suspend work where undisputed invoices remain unpaid beyond their due date. All prices are exclusive of applicable taxes and statutory levies unless expressly stated otherwise.
All intellectual property in our website content, methodologies, tools, templates and pre-existing materials remains our property. Subject to full payment, deliverables specifically created for your project are licensed or assigned to you as set out in the applicable agreement. You may not copy, reproduce or exploit our proprietary materials beyond the rights expressly granted.
Each party may receive confidential information from the other in the course of an engagement. Both parties agree to keep such information confidential, to use it only for the purpose of the engagement, and not to disclose it to third parties except as required to perform the services or as required by law. This obligation survives the completion or termination of the engagement.
We warrant that our services will be performed with reasonable skill and care, in a professional manner and in accordance with applicable engineering standards relevant to the agreed scope. Specific performance warranties, defect-liability periods and remedies, where offered, are defined in the applicable agreement. Equipment supplied by third parties is covered by the respective manufacturer's warranty.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with an engagement shall not exceed the fees paid by you for that engagement. We shall not be liable for indirect, incidental, consequential or special losses, including loss of profit, production, data or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, government action, strikes, power failures, or disruption to transport or supply chains.
Either party may terminate an engagement in accordance with the terms of the applicable agreement. We may suspend or terminate services where there is a material breach that is not remedied within a reasonable period, where payment obligations are not met, or where continued work would breach safety or legal requirements. On termination, you agree to pay for all services properly performed up to the date of termination.
These Terms and any engagement are governed by the laws of India. Subject to any dispute-resolution mechanism set out in a specific agreement, the courts having jurisdiction over our registered place of business shall have exclusive jurisdiction over any dispute arising in connection with these Terms.
We may update these Terms from time to time. The current version will always be available on this page with a revised date. Your continued use of the website after any change constitutes acceptance of the updated Terms.
